Controlled Launch and Preliminary Intake
Due Diligence is in controlled launch. Every request is received for preliminary review. Scope, authority, lawful purpose, safety, conflicts, and capacity are reviewed before acceptance. Written acceptance is required before any work begins or payment is requested.
Conflict and Lawful-Purpose Review
Klondike Revival reviews each request for conflicts of interest, improper purpose, and applicable risks. Work may be declined if conflicts are identified or if the stated purpose is not lawful. No work begins until conflicts have been cleared in writing.
Accepted Written Scope
The scope of work is defined in writing and specifies what will and will not be researched, sources used, timeline, deliverables, and pricing. No work exceeds the accepted scope without written agreement and adjustment to pricing.
Sources and Third-Party Limits
Due-Diligence work may use public records, client-supplied information, and information from third parties. Klondike Revival does not control third-party sources and cannot guarantee their accuracy or completeness.
Some third parties (registries, government agencies, professional advisors) may not provide information without client authorization. Klondike Revival will request your authorization where needed.
Fact, Allegation, Opinion, and Dispute Separation
All due-diligence reports separate facts from allegations, opinions, disputed information, and unknowns. Sources are documented. Limitations are clearly stated.
Client Authority
You confirm that you have the authority to provide information and request research on the matters covered. You are responsible for obtaining necessary authorizations from third parties if information sharing is required.
Secure Records Handling
Sensitive records you provide are stored securely and access is limited to people who need them for the accepted scope. Secure follow-up instructions are provided after preliminary review where appropriate.
No Payment for Favourable Finding
Payment for due-diligence services does not purchase or guarantee a favourable finding, predetermined conclusion, or suppression of information. Work is conducted to identify facts and risks accurately, not to produce the result you prefer.
Not Professional Advice
Due-Diligence reports are for informational purposes. They do not constitute legal advice, financial advice, investment advice, geological advice, engineering advice, tax advice, regulatory advice, or professional recommendations. Do not rely on reports as a substitute for advice from qualified professionals. Consult appropriate professionals before making decisions based on findings.
Report Use Limits
Reports are prepared for your use in accordance with the accepted scope. Use for purposes beyond the accepted scope may not be appropriate. Sharing reports with unauthorized parties is your choice, but may expose you to liability if the report is misunderstood or misrepresented.
Corrections and Right of Response
If a report includes information about you or your organization, you have the right to submit a correction or response. See /corrections for the process.
Third-Party Costs
Third-party costs (registry fees, professional referrals, travel) are disclosed and approved in writing before being incurred. These costs are your responsibility and are not refundable if the work is subsequently cancelled, unless the cancellation is due to Klondike Revival's error.
Cancellation and Refunds
Cancellation and refund treatment is governed by the Refund and Cancellation Policy. No refund is provided for approved third-party costs that have been incurred.
Delivery and Payment
Reports are delivered only after the work has been reviewed for quality, completeness, and accuracy. Final payment is due before or upon delivery. Any approved balance (remaining payment owed) is settled according to the written agreement.
No Guaranteed Completeness or Outcome
Due-Diligence work is conducted to the extent reasonably achievable within the accepted scope. Klondike Revival does not guarantee that all available information will be discovered, all risks will be identified, or that findings will be complete or conclusive. No outcome is guaranteed.
Non-Excludable Rights
Nothing in these terms waives or limits rights, duties, remedies, warranties, or liabilities that cannot lawfully be waived or limited by contract.
